Terms of Service

These Terms of Service (“Terms”) constitute a legal agreement between you (“you” or “Customer”) and Automo Soft, located at 315 Doon Valley Drive, Suite 7, Kitchener, ON N2G 4M4, Canada, operating under the brand name Automo Soft (“the Service”). By accessing or using Automo Soft, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Automo Soft, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Service

Automo Soft is a cloud-based dealer management system for independent car dealerships. The Service includes inventory management, lead tracking, deal processing, customer management, dealer website hosting, marketplace feed distribution (AutoTrader, CarGurus, Kijiji Autos, and others), social media posting to Facebook and Instagram, and related tools.

3. Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorised use.

4. Subscription and Billing

Paid plans are billed on a monthly or annual basis as selected. Prices are listed on our pricing page and may be updated with 30 days' notice. All fees are non-refundable except as required by applicable law or as described in our Refund Policy. Failure to pay may result in suspension or termination of your account.

5. Free Trial

New accounts receive a free trial period with full access to all features. No credit card is required to start a trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service. Trial duration may vary and will be shown during registration.

6. Data Ownership

You retain ownership of all data you upload to or create within the Service, including vehicle listings, photos, customer records, and business content. We do not sell, share, or use your data for purposes other than providing the Service. You may export your data at any time. You grant us a limited, non-exclusive licence to host, store, and display your content solely as necessary to operate the Service.

7. Acceptable Use

You agree not to use the Service for any unlawful purpose, to upload malicious or infringing content, to attempt to gain unauthorised access to any part of the Service or its infrastructure, or to use the Service in a way that could damage, disable, or impair it. You are responsible for all content uploaded under your account.

8. Cancellation and Data Retention

You may cancel your subscription at any time. Upon cancellation or expiry of your free trial, your account will enter a 30-day grace period during which you will have read-only access to your data and may export it. You may reactivate by subscribing during this period to restore full access. After the 30-day grace period, your account and all associated data — including vehicle listings, photos, leads, customer records, deals, website content, and settings — will be permanently and irreversibly deleted. You will receive email warnings at 3 days and 1 day before the scheduled deletion date.

9. Photo Management and Storage

To manage storage efficiently, photos associated with sold vehicles are automatically compressed 30 days after the vehicle is marked as sold. The system retains a maximum of 5 photos per sold vehicle; any additional photos are permanently deleted. Retained photos are resized and compressed to lower resolution. This process is irreversible — original full-resolution images cannot be recovered after compression. Photos for active (in-stock) vehicles are not affected. If you require full-resolution photos of sold vehicles, you must download them within 30 days of marking the vehicle as sold.

10. Service Usage Limits

Your use of the platform is subject to usage limits that vary by subscription plan. These limits may include monthly AI token budgets, SMS message quotas, vehicle listing caps, user account limits, and marketplace feed quotas. Usage counters for messaging add-ons reset upon each billing charge. AI token usage resets on a calendar month basis. If you exceed your allocated limits, certain features may be temporarily unavailable until the next reset period or until you upgrade your plan.

11. Third-Party Integrations

Automo Soft integrates with third-party services including marketplace platforms (AutoTrader, CarGurus, Kijiji Autos, and others), Facebook Pages, Instagram, Google Merchant Center, and payment processors. These integrations require valid access tokens and credentials that you authorise. Tokens may expire and require re-authorisation. Automo Soft is not responsible for changes to third-party APIs, rate limits imposed by third-party services, or service interruptions caused by third-party providers. Marketplace feed distribution ceases immediately if your subscription lapses.

12. Third-Party Data Accuracy

Automo Soft integrates with third-party data providers to offer features such as VIN decoding, vehicle history reports, and market pricing data. While we make reasonable efforts to present this information accurately, Automo Soft does not guarantee the accuracy, completeness, or reliability of any data obtained from third-party sources. VIN-decoded specifications, features, trim levels, and other vehicle details may contain errors or omissions. You are solely responsible for verifying all vehicle information before publishing listings, completing sales, or making business decisions based on such data. Automo Soft shall not be liable for any losses, claims, or damages arising from inaccurate or incomplete third-party data.

13. Marketplace and Social Media Risks

Automo Soft provides tools to post vehicle listings to third-party marketplaces and social media platforms, including but not limited to Facebook, Instagram, and other social networks. These platforms are operated by independent third parties with their own terms of service, community standards, and enforcement policies. By using these features, you acknowledge that: (a) Automo Soft is not responsible for any actions taken by third-party platforms against your account, including restrictions, bans, content removal, or account suspension; (b) posting frequency, content type, and volume are subject to the platform's rules, which may change without notice; (c) you are solely responsible for ensuring your use of these integrations complies with the applicable platform's terms of service; and (d) Automo Soft provides no guarantee that listings will be accepted, remain visible, or achieve any particular result. Automo Soft shall not be liable for any loss of business or revenue resulting from third-party platform actions or policy changes.

14. Automated Notifications

Automo Soft sends automated communications on your behalf, including unanswered lead notifications, daily schedule digests, trial expiry warnings, and billing-related emails. You are responsible for configuring your notification preferences and ensuring that automated communications sent on your behalf comply with applicable laws and regulations, including anti-spam legislation.

15. AI-Generated Content

Automo Soft may offer AI-powered content generation features, including vehicle descriptions, blog posts, and customer communications. All AI-generated content is created in draft form and is not published automatically. You are solely responsible for reviewing, editing, and approving any AI-generated content before publication. Automo Soft does not guarantee the accuracy, completeness, or suitability of AI-generated content.

16. Domain Provision and Ownership

Automo Soft may provide custom domain names to subscribers as part of certain subscription plans at no additional charge. All domains provisioned by Automo Soft remain the exclusive property of Automo Soft and are licensed to you solely for use with the Service during your active subscription. You acknowledge that: (a) you have no ownership rights over any domain provided by Automo Soft; (b) domains are not transferable to you or any third party under any circumstances; (c) upon cancellation or termination, your licence to use the domain immediately ceases and the domain reverts to Automo Soft; and (d) all decisions regarding domain management and retention are at the sole discretion of Automo Soft. If you require full ownership of a domain, you must independently purchase and register one through a third-party registrar.

17. Promotional Use Licence

By using the Service, you grant Automo Soft a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, and distribute screenshots and representations of your dealership website, listings, and publicly visible content for Automo Soft's own marketing and promotional purposes, including case studies, social media posts, and on the Automo Soft marketing website. Automo Soft will not use private or non-public data for promotional purposes. You may opt out by notifying us in writing; we will remove your content from future materials within a reasonable timeframe.

18. Indemnification

You agree to indemnify, defend, and hold harmless Automo Soft, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) content you upload, publish, or distribute through the Service; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) any third-party claim arising from your dealership operations facilitated through the Service.

19. Limitation of Liability

To the maximum extent permitted by law, Automo Soft shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the platform. Our total liability to you for any claim shall not exceed the amount paid by you to Automo Soft in the 12 months preceding the claim.

20. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, with jurisdiction in the courts of Kitchener, Ontario. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of those courts, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property.

21. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.
